By using our services, you agree to these Terms of Service. Further stipulations may be agreed on a per-project basis.
Definitions
In these Terms of Service, the following words shall have the following meanings:
- "We", "us" or "our" means Shabba.io.
- "You" or "your" means the person or entity using our services.
- "Software" means any solutions provided including programming and non-programming.
Scope of Services
We provide advertising technology (AdTech) and marketing technology (MarTech) solutions through our software, which may include but is not limited to Google Ads Scripts, Microsoft Ads Scripts, Google Apps Script, Python Programming & PHP (web-based) solutions. Our services are provided on an "as is" and "as available" basis, without any warranties or representations.
Payment
We reserve the right to change our pricing at any time, but any changes will not affect fees already paid and due notice will be provided. Pricing for custom software will be agreed on a per-project or per-contract basis.
Intellectual Property & Confidentiality
The Company shall keep confidential all information and data provided by the Client in connection with the Services. The Company shall not use or disclose such information or data except as necessary to provide the Services to the Client or with the Client's explicit prior consent.
The Company shall ensure that its employees, agents and subcontractors are made aware of and comply with the confidentiality obligations set out in this section.
Notwithstanding the above, the Company shall have the right to use and re-use any code or other materials developed or created in connection with the Services unless otherwise agreed, provided that such use does not disclose or make use of any information or data provided by the Client.
The provisions of this section shall survive termination of the Services.
Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, special, incidental, consequential, or punitive damages arising out of or in connection with our services, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising out of or in connection with our services shall not exceed the total fees paid by you for such services.
Termination
We may terminate or suspend your access to our services at any time without notice or liability, for any reason or no reason, including but not limited to breach of these Terms of Service.
Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with English law. Any dispute arising out of or in connection with these Terms of Service shall be subject to the exclusive jurisdiction of the English courts
